Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of UptimeBuddy, our website and uptime monitoring platform (the "Service"). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you ("you" or "User") and UptimeBuddy ("we", "us", or "our"), operated from New Hampshire, United States. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age and legally able to enter into contracts to use the Service. By registering, you confirm that you meet these requirements.

3. Your account

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to provide accurate and current information during registration and to keep your profile details up to date.
  • We may suspend or terminate your account if we believe your credentials have been compromised or if you have violated these Terms.
  • You may close your account at any time from the settings page or by contacting us.

4. Acceptable use

You agree not to:

  • Use the Service to monitor endpoints, domains, or hosts you do not own or have permission to test;
  • Attempt to overload, disrupt, or compromise the Service, its infrastructure, or any third-party system through your monitoring activity;
  • Reverse engineer, decompile, or otherwise attempt to extract source code or proprietary data from the Service;
  • Use the Service for any unlawful, fraudulent, or abusive purpose, or in violation of any applicable law or third-party right;
  • Resell, sublicense, or redistribute access to the Service without our written consent.

We may modify monitor frequency or methods as needed to prevent abuse or protect third-party infrastructure.

5. Plans, billing, and subscriptions

Plans and pricing

We offer several subscription plans with different monitor limits, check intervals, and features. Current pricing and plan details are displayed on our pricing page. We may change pricing or plan features with reasonable advance notice.

Payment

Paid plans are billed through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.

Cancellations and downgrades

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — paid features remain available until then. If you downgrade to a plan that supports fewer monitors than you currently have active, you will be asked to select which monitors remain active.

Upgrades

Upgrades take effect immediately with a prorated charge for the remainder of the current billing cycle.

Refunds

Fees are non-refundable except where required by law. If you believe you were charged in error, contact us within 30 days of the charge.

6. The Service and monitoring

  • UptimeBuddy performs automated checks on URLs, DNS records, and IP hosts you configure. We report results and send alerts based on those checks.
  • We do not guarantee that every check will succeed or that alerts will be delivered instantly. Network conditions, email providers, SMS carriers, and third-party systems may delay or prevent delivery.
  • The Service is provided on a best-effort basis. Historical check results may be purged after a retention period. We are not a replacement for your own operational diligence.
  • We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

7. Intellectual property

The Service, including its design, software, branding, and mascot, is owned by UptimeBuddy and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other proprietary content.

You retain all rights to the monitor configurations and data you submit to the Service. By using the Service, you grant us a limited license to process that data as needed to operate and improve the Service.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that alerts will always be accurate or timely. Your use of the Service is at your own risk.

9. Limitation of liability

To the fullest extent permitted by law, UptimeBuddy and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Service — whether based on warranty, contract, tort (including negligence), or any other theory — even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50 (USD), whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless UptimeBuddy and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights — including monitoring endpoints you do not own or have permission to test.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, liability, and indemnification — will remain in effect.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Hampshire, United States, without regard to conflict-of-law principles. You agree to resolve any dispute through binding arbitration in New Hampshire, and to waive any right to participate in a class action.
